Legal Due Diligence Checklist Before Signing a Business Contract
A checklist for verifying the legality of documents and parties before a cooperation contract is signed.
Legal due diligence should ideally cover verifying the legality of the prospective partner's business entity (business registration number/NIB, deed of establishment and its amendments), the signatory's authority under the company's articles of association, and any unresolved disputes or outstanding obligations.
Crucial clauses such as force majeure, dispute resolution, and default (wanprestasi) mechanisms need to be drafted specifically to avoid multiple interpretations. A lawyer drafting the contract should also make sure it complies with the sectoral regulations applicable to the relevant line of business.
